Software Product Terms and Conditions
Welcome to Mifo Communications. We offer software and software services under the brand names Mifo™, Mifo Communications™, Simplicity Web Tools™, Simplicity Builder™, Simplicity Embed™ hereinafter referred to as software. By downloading, installing, or using our software, you agree to comply with and be bound by the following terms and conditions. Please read them carefully.
1. Acceptance of Terms
By downloading, installing, or using our software, you accept these terms and conditions in full. If you do not agree with these terms and conditions, you must not use our software.
2. License Grant
Mifo Communications grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the software strictly in accordance with these terms.
3. Restrictions
You agree not to, and you will not permit others to:
- License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the software.
- Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the software.
- Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Mifo Communications or its affiliates, partners, suppliers, or licensors.
4. Intellectual Property
All rights, title, and interest in and to the software, including all associated intellectual property rights, are and will remain the exclusive property of Mifo Communications.
5. Updates and Maintenance
Mifo Communications may, from time to time, provide enhancements or improvements to the features/functionality of the software, which may include patches, bug fixes, updates, upgrades, and other modifications ("Updates").
6. Privacy Policy
Mifo Communications respects your privacy and is committed to protecting it. Our Privacy Policy, which is available on our website, explains how we collect, use, and disclose information that pertains to your privacy.
7. Termination
This Agreement is effective until terminated by you or Mifo Communications. Your rights under this Agreement will terminate automatically without notice from Mifo Communications if you fail to comply with any term(s) of this Agreement. Upon termination, you must cease all use of the software and delete all copies of the software from your devices.
8. Disclaimer of Warranties
The software is provided "as is" with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Mifo Communications, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the software, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
9. Limitation of Liability
Notwithstanding any damages that you might incur, the entire liability of Mifo Communications and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the software. To the maximum extent permitted by applicable law, in no event shall Mifo Communications or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever.
10. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of California, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
11. Changes to Terms
Mifo Communications reserves the right, at its sole discretion, to modify or replace these terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
